Welcome to Valiant Productions. These Terms of Use (“Terms”) govern your access to and use of our website, content, and services (collectively, the “Services”). By accessing or using our Services, you agree to comply with these Terms and our Privacy Policy. If you do not agree, you must not use our Services.

1. Eligibility

You represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. The Services are intended for use in the United States, and users accessing from other jurisdictions are responsible for compliance with local law.

2. Intellectual Property

All content provided by Valiant Productions — including images, video, text, logos, designs, and graphics — is the property of Valiant Productions or its licensors and protected by copyright, trademark, and intellectual property laws unless ownership is transferred to the client.
Unauthorized reproduction, distribution, modification, or exploitation of our work or website content is prohibited.

3. User Responsibilities & Prohibited Uses

You agree not to use the Services:

For unlawful purposes or in violation of applicable laws.
To impersonate another person or misrepresent your identity.
To scrape, harvest, or collect data using bots, spiders, or automated tools without written consent.
To attempt reverse engineering, decompiling, or unauthorized access to our systems.
To transmit viruses, malware, or harmful code.
To post or share unlawful, defamatory, obscene, or infringing material.

Violation of these restrictions may result in termination of access and legal action.

4. Payments & Fees

Payment terms, deposits, and due dates are outlined in project contracts.
Deposits are generally non-refundable unless otherwise specified.
Late payments may incur additional fees or suspension of Services.

5. Cancellations & Rescheduling

Cancellation and rescheduling policies will be defined in project agreements.
Fees may apply based on the stage of work and availability.

6. No Warranties

The Services, website, and all content are provided “as is” and “as available” without warranties of any kind, express or implied. We do not guarantee uninterrupted service, error-free operation, or that the Services will meet your expectations.

7. Limitation of Liability

Valiant Productions and its affiliates shall not be liable for indirect, incidental, special, or consequential damages.
Our total liability for any claim shall not exceed the greater of (i) the fees you paid for the Services in question, or (ii) one hundred dollars ($100).

8. Indemnification

You agree to defend, indemnify, and hold harmless Valiant Productions, its affiliates, officers, directors, employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from your misuse of the Services, violation of these Terms, or infringement of third-party rights.

9. Arbitration & Waiver of Class Actions

Any disputes arising from these Terms or use of our Services shall be resolved by binding individual arbitration under the rules of the American Arbitration Association.
You waive the right to bring a lawsuit in court, including trial by jury.
You waive participation in class actions, collective actions, or representative claims against Valiant Productions.

10. Third-Party Services & Links

Our Services may include links or integrations with third-party platforms. We are not responsible for the content, availability, or practices of third-party sites or providers. Your use of such services is at your own risk.

11. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and safeguard your information.

12. Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles. Disputes not subject to arbitration shall be heard exclusively in the courts located in New Jersey.

13. Miscellaneous

Waiver & Severability: Failure to enforce any provision of these Terms is not a waiver of rights. If any provision is found unenforceable, the remainder will remain in effect.
Entire Agreement: These Terms, together with our Privacy Policy and any client contracts, constitute the entire agreement between you and Valiant Productions.
